PENGUMUMAN

Dengan ini kami mengumumkan rencana penggabungan PT Oto Multiartha (“OTO”) dan PT Summit Oto Finance (“SOF”), dimana perusahaan hasil penggabungan adalah SOF dengan komposisi pemegang saham yang sama dengan saat ini, yaitu PT Bank SMBC Indonesia Tbk sebesar 51% (lima puluh satu persen), PT Summit Auto Group sebesar 34% (tiga puluh empat persen) dan PT Sinar Mas Multiartha Tbk sebesar 15% (lima belas persen).

Sebagai akibat dari penggabungan, OTO akan berakhir demi hukum. Dengan demikian, semua aktiva serta pasiva OTO sebagai perusahaan yang bergabung, termasuk seluruh hak serta kewajiban OTO akan beralih kepada SOF sejak tanggal efektif penggabungan.

Realisasi penggabungan akan tunduk pada persetujuan yang diperlukan dari instansi yang berwenang sesuai dengan peraturan perundang-undangan, dan akan berlaku efektif setelah diterimanya bukti penerimaan pemberitahuan dari Menteri Hukum sehubungan dengan perubahan anggaran dasar SOF dalam rangka penggabungan.

ANNOUNCEMENT

We hereby announce the merger plan of PT Oto Multiartha (“OTO”) and PT Summit Oto Finance (“SOF”). As a result of this merger, the surviving entity will be PT Summit Oto Finance with the same composition of current shareholders composition where PT Bank SMBC Indonesia Tbk will hold 51% (fifty one percent) shares, PT Summit Auto Group will hold 34% (thirty four percent) of shares and PT Sinar Mas Multiartha Tbk will hold 15% (fifteen percent).

As a consequence of this merger, OTO will be dissolved by operation of law. Therefore all assets and liabilities of OTO as the merging company, including all of its rights and obligations, will be transferred to and acquired by SOF effective since the merger's effective date.

The implementation of the merger will be subject to the requisite approvals from the relevant authorities in accordance with applicable laws and regulations, and will become effective upon the issuance of an acknowledgment of receipt by the Minister of Law in respect of the amendment to the articles of association of SOF in regards to the implementation of this merger.
